  • "Services" means any professional, Academic, advisory, creative, or ancillary services offered by Moguhl.
  • "Solution" means our combined content, experience, and product offerings, including but not limited to books, digital media, artisan goods, events and location services.

2.1 All IP in any work, product, content, trademarks, artwork, narrative, names, branding, websites, software, or materials owned or developed by Moguhl Ltd remains the sole and exclusive property of Moguhl Ltd.

2.2 No licenses or rights are granted to the Customer or any third party unless explicitly agreed in a prior written agreement.

2.3 Strict Prohibition on Unauthorised Use:
You agree not to reproduce, redistribute, copy, sell, modify, adapt, publicly display, perform, publish, license, create derivative works from, transfer, or otherwise use any IP owned by Moguhl without prior express written consent.

2.4 Any unauthorised use of Moguhl's IP shall entitle Moguhl to initiate immediate legal action, including claims for damages, injunctions, and recovery of legal costs.

3.1 Moguhl Ltd will provide products, digital content, immersive experiences, and events as detailed on our website or in contractual documentation.
3.2 We reserve the right to modify, update, or discontinue products or services without prior notice, though reasonable efforts will be made to inform customers of material changes.
3.3 The nature of immersive experiences and creative projects may result in limited guarantees regarding timelines, availability, or outcomes. Moguhl endeavours to meet commitments but shall not be liable for unavoidable delays or changes.

4.1 All payments for orders, services, or bookings shall be due within 30 days of the invoice date unless otherwise agreed in writing.
4.2 Payments must be made in full, without deductions, set-offs, or withholding.
4.3 In cases of overdue payments:

• • Moguhl reserves the right to charge interest at 8% per annum above the Bank of England base rate on all outstanding amounts, calculated daily[ref].
  • Access to services or delivery of products may be suspended until payment is received in full.
  • Moguhl reserves the right to pursue all legal remedies to recover outstanding charges and costs.

5.1 You agree to use the Moguhl website and any online portals only for lawful purposes and not to impede or damage any part of the platform, services, or user experience.
5.2 Unauthorised access or attempts to access restricted areas or protected content without permission may result in legal action.

6.1 Both parties agree to keep confidential any proprietary or sensitive business information shared during engagement that is not publicly available ("Confidential Information").
6.2 Confidential Information shall only be used for the purposes solely connected to the contractual relationship and must not be disclosed without prior written consent.
6.3 This clause survives the termination of any agreement for a period of 2 years.

7.1 Moguhl provides its services and products on an "as is" basis. While we make reasonable efforts for quality assurance, Moguhl gives no warranties or guarantees regarding fitness for a particular purpose, accuracy, or availability.
7.2 Moguhl Ltd excludes all liability for any loss or damage (direct, indirect, consequential) arising from the use of its website, services, products, or IP except where prohibited by law.
7.3 Nothing in these Terms limits liability for death or personal injury arising from negligence or fraudulent misrepresentation.

8.1 Moguhl processes personal data in compliance with the UK GDPR and Data Protection Act 2018.
8.2 Our Privacy Policy, available on our website, describes how your data is collected, used, and protected.

9.1 Any cancellations or refunds for goods or services are subject to specific terms communicated at time of purchase.
9.2 Digital content and creative products are generally non-refundable once delivered unless defective or materially different from description.

10.1 These Terms shall be governed by the laws of England and Wales.
10.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11.1 Moguhl reserves the right to amend these Terms at any time by updating this page. Changes take effect upon posting.
11.2 Continued use of the website, services, or products after changes signify acceptance of updated Terms.
